These Terms of Service ("Terms") govern your access to and use of Construction Management Pro ("Service," "Platform," "we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using Construction Management Pro, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users, including contractors, project managers, and business owners.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Eligibility and Account Registration
2.1 Eligibility
To use this Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- Represent a legitimate construction or contracting business
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Providing accurate, current, and complete information during registration
2.3 Account Termination
We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason we deem appropriate.
3. Service Description and Use
3.1 Service Features
Construction Management Pro provides:
- Project management and tracking tools
- Estimate and invoice creation and management
- Client and subcontractor database management
- Expense tracking and financial reporting
- Time tracking and scheduling features
- Document storage and organization
3.2 Acceptable Use
You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service for any illegal or unauthorized purpose
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other user accounts
- Reverse engineer, decompile, or disassemble the Service
- Scrape, spider, or harvest data from the Service
- Interfere with or disrupt the Service or servers
- Impersonate any person or entity
- Share your account with unauthorized users
- Use the Service to send spam or unsolicited communications
3.3 Service Availability
We strive to provide reliable service but do not guarantee uninterrupted or error-free access. We may modify, suspend, or discontinue any aspect of the Service at any time without prior notice.
4. Subscription Plans and Billing
4.1 Free Trial
We may offer a 14-day free trial for new users. At the end of the trial period, you must select a paid subscription plan to continue using the Service.
4.2 Paid Subscriptions
Subscription plans are billed on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscription fees are:
- Non-refundable except as required by law
- Charged in advance for each billing cycle
- Subject to change with 30 days' notice
- Exclusive of applicable taxes, which will be added to your bill
4.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of the Service, except as required by applicable law.
4.4 Payment Failure
If a payment fails, we may suspend your access to the Service until payment is received. Continued failure to pay may result in account termination and data deletion.
5. User Content and Data
5.1 Your Content
You retain ownership of all data, files, and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to:
- Store, process, and display your content to provide the Service
- Make backups to prevent data loss
- Analyze anonymized, aggregated data for service improvement
5.2 Content Responsibility
You are solely responsible for the accuracy, quality, and legality of your User Content. We do not monitor User Content but reserve the right to remove content that violates these Terms or applicable laws.
5.3 Data Backup
While we implement backup procedures, you are responsible for maintaining your own backups of important data. We are not liable for data loss or corruption.
5.4 Data Export and Deletion
You may export your data at any time through the Service. Upon account termination, your data will be deleted within 30 days unless otherwise required by law.
6. Intellectual Property Rights
6.1 Our Rights
The Service, including all software, designs, graphics, text, and other content (excluding User Content), is owned by Construction Management Pro and protected by copyright, trademark, and other intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with these Terms.
6.3 Restrictions
You may not copy, modify, distribute, sell, or lease any part of our Service without express written permission.
7. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.
8. Disclaimers and Warranties
8.1 "AS IS" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability, fitness for a particular purpose, or non-infringement
- Uninterrupted, secure, or error-free operation
- Accuracy, reliability, or completeness of content or data
- Compatibility with your hardware or software
8.2 No Professional Advice
The Service is a software tool only and does not provide legal, financial, tax, or professional advice. Consult appropriate professionals for such matters.
8.3 Third-Party Services
The Service may integrate with third-party services. We are not responsible for the availability, accuracy, or performance of third-party services.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSTRUCTION MANAGEMENT PRO SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions, errors, or security breaches
- Actions or omissions of third parties
- Unauthorized access to or alteration of your data
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify, defend, and hold harmless Construction Management Pro, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
11. Dispute Resolution
11.1 Informal Resolution
Before filing a claim, you agree to contact us at support@constructionmgmtpro.com to attempt to resolve the dispute informally for at least 30 days.
11.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
11.3 Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Construction Management Pro regarding the Service.
12.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
12.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
12.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
12.5 Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, wars, terrorism, riots, or Internet outages.
